These Terms of Service ("Terms") govern your use of StaffSuite Asia's Agent of Record (AOR), workforce compliance, and contractor payout platform. By using our services, you agree to these Terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using StaffSuite Asia, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.
2. Description of Service
StaffSuite Asia provides enterprise Agent of Record (AOR) infrastructure, workforce tax administration, and cross-border contractor payout rails designed for Philippine talent engagements, including:
- Agent of Record (AOR) compliance and localized B2B agreements
- Automated contractor disbursements across Philippine banks and e-wallets
- Government statutory compliance and contribution workflows (SSS, PhilHealth, Pag-IBIG)
- BIR withholding tax management and automated Form 2307 issuance
- Creator, affiliate, and mass remote contractor payout rails
- Client management and contractor self-service portals
3. Account Registration
To use StaffSuite Asia, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Be at least 18 years old
- Have the authority to bind your organization to these Terms
- Notify us immediately of any unauthorized access
4. Subscription and Payment
4.1 Subscription and Service Fees
StaffSuite Asia offers monthly management plans and per-transaction payout rail tiers. Pricing is based on workforce classification, active contractor counts, and disbursement volumes.
4.2 Payment Terms
- Subscriptions and retainer fees are billed monthly in advance
- Disbursement rails are settled in accordance with service agreements
- Fees may be invoiced in USD, PHP, AUD, or other agreed currencies
- Payment is due upon receipt of invoice
- Late payments may result in service suspension
- Prices may change with 30 days' notice
4.3 Refunds
Platform subscription fees are non-refundable except as required by Philippine law or at our sole discretion. Disbursed contractor funds cannot be recalled once settled to recipient bank accounts or wallets.
5. User Responsibilities
You agree to:
- Provide accurate contractor, employee, and payout data
- Comply with all applicable Philippine labor laws, DOLE regulations, and tax codes
- Use the service only for lawful business purposes
- Not attempt to reverse engineer, hack, or compromise our platform
- Not share your account with unauthorized users
- Verify all disbursement batches before approving release
6. Data Ownership and Usage
6.1 Your Data
You retain all rights to your data. We do not claim ownership of any contractor, employee, or payroll information you upload.
6.2 Our Rights
We may use anonymized, aggregated data for analytics, product improvement, and industry benchmarking.
7. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice.
8. Limitation of Liability
IMPORTANT: While StaffSuite Asia manages compliance frameworks and payout automation, you are ultimately responsible for:
- Verifying all payout batch schedules and recipient details
- Ensuring truthful engagement terms under applicable laws
- Timely funding of accounts for payroll and disbursement release
- Maintaining accurate workforce operational records
StaffSuite Asia is not liable for errors resulting from incorrect recipient account data input, bank-side clearing delays, or regulatory sanctions originating outside our control. Our total liability shall not exceed the management fees paid in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold StaffSuite Asia harmless from any claims, damages, or expenses arising from your misuse of the service, violation of these Terms, or intentional misrepresentation of contractor relationships.
10. Termination
10.1 By You
You may cancel your subscription or service agreement at any time in accordance with your master service agreement. Cancellation takes effect at the end of the current billing period.
10.2 By Us
We may suspend or terminate your account for:
- Non-payment of fees
- Violation of these Terms or compliance policies
- Fraudulent, AML/CTF red-flagged, or illegal activity
- Abuse of our platform or support team
10.3 Data Export
Upon termination, you may export your historical records and tax files within 30 days. After 30 days, we may archive or purge your operational data pursuant to legal retention requirements.
11. Intellectual Property
StaffSuite Asia and all related trademarks, logos, and content are owned by us. You may not use our intellectual property without written permission.
12. Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the competent courts of the Republic of the Philippines.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through our platform. Continued use after changes constitutes acceptance.
